Biography

Alexander Maniscalco joined Loftin | Bedell P.C. in 2009, with focus in land use and zoning, real estate, and business organizations. Mr. Maniscalco advises clients on a range of complex land use, real estate, and corporate matters, and has experience in litigation in these areas.

Prior to joining Loftin | Bedell P.C., Mr. Maniscalco served as a Vice President and General Counsel at a residential land development company in Orange County and the Inland Empire.

Alexander has been recognized as a SuperLawyers Rising Star in 2018, 2019, and again in 2020, an honor awarded to less than 2.5 percent of attorneys statewide.

Representative Engagements and Experience:

Land Use/Zoning Matters

  • Counsel property owners and developers in land use entitlement strategy, application and permitting, negotiation, and satisfaction of conditions throughout Orange and San Diego Counties;
  • Represent and appear on behalf of applicants and interested parties at local government hearings concerning applications and appeals, in preparation for filing of litigation;
  • Counsel and defend property owners with regard to code enforcement inspections, notices of violation, revocation of entitlements, and related administrative proceedings;
  • Prepare and file writ of writ of mandate, administrative mandamus, and related constitutional due process and takings claims;
  • Represent multifamily property owners in the conversion of rental properties to resident ownership;

Business Organizations

  • Counsel and form a range of business entities, ranging from corporations, limited liability companies, limited partnerships, and professional corporations, to public and mutual benefit nonprofit corporations;
  • Counsel business owners on complex planning ranging from multi-class equity voting and distribution rights, buy-sell agreements, deadlock provisions, and close corporation shareholder agreements, to asset protection and selection of alternative business jurisdictions;
  • Serve as outside general counsel to businesses regarding entity function, governance, operations, and transactions, including routine contracts, employment matters, and acquisitions, as well as fundamental corporate changes including mergers, and asset and equity sales;
  • Serve as special counsel to entity boards, management, and majority owners relating to fundamental corporate changes including: corporate buy-outs, friendly take-over, asset and bulk sales, debt workout, mergers, and conversions (intrastate, interstate, and interspecies);
  • Counsel a variety of entities in approval and offering for sale of securities pursuant to California Department of Business Oversight permits, as well as state and federal exemptions and related filings;

Real Estate Law and Litigation

  • Counsel land development companies and individuals in property acquisition, due diligence, and financing;
  • Represent lenders in underwriting, loan documentation, and closing;
  • Counsel parties in the drafting, review, and negotiation of deeds, instruments, easements, licenses, joint use agreements, infrastructure connection, improvement, and maintenance agreements;
  • Represent lenders and purchasers in title review and insurance commitment, including negotiation of exceptions, and removal of defects;
  • Represent property owners in the litigation of quiet title claims to resolve clouds on title, encroachments, and adverse rights claim including easements and possession;
  • Form and counsel homeowners associations relating to the Davis Stirling Act, California Nonprofit Corporation Law, and operations;
  • Form and counsel housing cooperatives and corporations relating to state corporate law, and federal law and regulation of tax exempt entities, and qualified housing project financing;
  • Counsel developers in the California Subdivision Public Report Process and the preparation of related documents.
